Its role is toaddress daily operational issues, prioritize matters forthe Board of Directors, and act on the Boards behalf inurgent or time-sensitive situations. Responsibilitiesinclude directing the CEO to call special Board meetings,when needed, executing delegated responsibilities, andmaking time-sensitive decisions subject to Boardratification at the next scheduled meeting.Advocacy CommitteeAs a membership driven organization, ASBAsAdvocacy Committee allows the association to beresponsive to emergent education topics. TheCommittee develops, initiates and implementsadvocacy strategies on behalf of the Board ofDirectors and the Association.Audit and Risk ManagementCommitteeThe Audit and Risk Management Committee iscomposed of the President as Chair and all Directors. Itsupports the Board in fulfilling its oversightresponsibilities related to financial and risk managementmatters. Key duties include engaging with externalauditors, reviewing and recommending approval ofaudited financial statements, evaluating auditorperformance, and advising on auditor appointments. Thecommittee also monitors risk management updates,reviews investment performance and policies regularly,and makes related recommendations to the Board.Additional duties may be assigned by the Board asneeded.Policy DevelopmentAdvisory CommitteeThe Policy Development Advisory Committee, chairedby the Vice-President and comprised of at least twoDirectors, is a standing committee of the Board ofDirectors that ensures the relevance and properprocesses of ASBA Bylaws, Position Statements, andGovernance Policies. It oversees policy development,reviews submitted issues, coordinates bylaw updates,and advises the Board with recommendations. 33'
